Definitions

In these Terms, unless the context otherwise requires, the following terms shall have the meanings ascribed to them below:

a. "Company", "we", "us", or "our" means Alphameet Innovate Private Limited.

b. "Application" or "OneMeet" means the OneMeet mobile application and any associated website or service operated by the Company.

c. "User" or "you" means any individual who creates an account and uses the Application.

d. "Premises" means any physical location, co-working space, café, conference venue, or other place that a User designates or enters as their active location within the Application.

e. "Meeting Request" means an in-app request sent by one User to another User present at the same Premises to initiate a physical in-person professional meeting.

f. "Networking Request" means an online connection request sent by one User to another User on the platform regardless of physical location.

g. "User-Generated Content" or "UGC" means any content created, posted, shared, or transmitted by a User through the Application, including profile information, photographs, posts, articles, and reviews.

h. "SOS Feature" means the in-app emergency assistance function that connects a User to a human moderator of the Company.

i. "Services" means all features, functions, and services made available through the Application.

j. "Account" means the registered account created by a User on the Application.

Acceptance of Terms

By registering for, accessing, or using the Application, you confirm that you:

a. Have read, understood, and agree to be bound by these Terms and all policies incorporated herein by reference, including the Privacy Policy, Data Usage Policy, and Disclaimer.

b. Are at least 18 years of age.

c. Are a human individual and are not accessing the Application through automated means.

d. Have the legal capacity to enter into a binding agreement.

If you are accessing the Application on behalf of a company or organisation, you represent that you have authority to bind such entity to these Terms, and these Terms shall apply to such entity.

If you do not agree with these Terms, you must not access or use the OneMeet Application.

Eligibility and Account Registration

3.1 Age Requirement

The Application is strictly available to individuals who are 18 years of age or older.

Age verification is conducted during registration through Google Sign-In. If the Company discovers or reasonably believes that a User is under 18 years of age, the account and associated data may be permanently deleted.

3.2 Account Registration

To use the Application, you must create an Account through Google Sign-In.

  • Provide accurate, current, and complete information.
  • Maintain and update your profile information when necessary.
  • Maintain the confidentiality of your account credentials.
  • Immediately notify the Company of any unauthorised use of your account.

3.3 One Account Per User

Each User may maintain only one Account on the Application. Creation of multiple accounts by the same individual may result in suspension or termination of all related accounts.

3.4 Professional Use Only

OneMeet is intended exclusively for professional networking. The Application must not be used for personal social networking, romantic interactions, unrelated solicitation, or commercial advertising inconsistent with the professional nature of the platform.

Nature of the Services

4.1 What OneMeet Provides

The Application enables registered Users to:

  • Discover verified professionals present within the same Premises.
  • Send and receive Meeting Requests for in-person professional meetings.
  • Send and receive Networking Requests for online professional connections.
  • Communicate through the in-app messaging feature.
  • Build and maintain a professional profile.
  • Access the SOS emergency feature when required.

4.2 Free Access and Future Paid Features

The Application is currently available free of charge. The Company reserves the right to introduce paid features, subscriptions, or premium services in the future with prior notice to Users.

Users will never be charged without their prior affirmative consent.

4.3 Platform Role

The Company operates as a technology platform that facilitates professional networking between Users.

The Company is not a party to any meeting, interaction, communication, or transaction between Users and does not guarantee the conduct, qualifications, identity, or intentions of any User.

Users remain solely responsible for their interactions, communications, and decisions made through the Application.

Meeting Requests and In-Person Meetings

5.1 Conditions for Sending a Meeting Request

A Meeting Request may only be sent to another User who is physically present within the same Premises as the requesting User.

A Meeting Request cannot be sent to Users who are at a different location or who are not currently active at the same Premises.

5.2 Acceptance Required

In-person meetings through the Application may only be initiated after the receiving User has explicitly accepted a Meeting Request.

No User shall approach, contact, or attempt to physically meet another User without prior acceptance of a Meeting Request.

5.3 Repeated Meeting Requests

Sending repeated Meeting Requests to a User who has declined, ignored, or blocked the requesting User may be considered harassment and a violation of these Terms.

5.4 No-Show at Accepted Meetings

Users who repeatedly fail to attend accepted meetings without reasonable cause may receive warnings, suspension, or account termination.

5.5 User Safety at In-Person Meetings

Users are solely responsible for their own safety during in-person meetings facilitated through the Application.

The Company strongly recommends meeting only in public or professional venues and exercising independent judgment at all times.

User-Generated Content

6.1 Ownership

You retain ownership of all User-Generated Content ("UGC") that you create and post on the Application.

By posting content, you represent and warrant that you possess all necessary rights, permissions, and authority to publish such content.

6.2 Licence Granted to the Company

By posting UGC, you grant the Company a non-exclusive, royalty-free, sublicensable, and worldwide licence to display, reproduce, and distribute such content within the Application.

The Company may also use anonymised and aggregated versions of content for internal analytics and platform improvement purposes.

6.3 Content Standards

User-Generated Content must not:

  • Contain false or misleading information.
  • Be defamatory, abusive, threatening, or discriminatory.
  • Contain sexually explicit, obscene, or pornographic material.
  • Promote violence, self-harm, or illegal activity.
  • Infringe intellectual property or privacy rights.
  • Contain malware, viruses, or harmful code.
  • Constitute spam or unsolicited commercial communications.
  • Impersonate any person, company, or organisation.

6.4 Moderation and Removal

The Company reserves the right to remove, modify, or restrict access to content that violates these Terms or applicable law.

Prohibited Conduct

The following conduct is expressly prohibited on the Application:

a. Creating a false identity, impersonating another person, or misrepresenting professional credentials.

b. Using the Application for purposes other than professional networking.

c. Scraping, data-mining, or using automated means to collect information from the platform.

d. Reverse engineering, decompiling, or attempting to extract source code from the Application.

e. Interfering with or disrupting the Application, servers, or related infrastructure.

f. Attempting to gain unauthorised access to any account, feature, or system.

g. Posting content that violates the content standards described in these Terms.

h. Engaging in illegal activities, harassment, stalking, fraud, or extortion.

i. Sharing sensitive financial information, passwords, or government identity documents through the messaging system.

j. Circumventing security controls, access restrictions, or moderation systems.

Account Suspension and Termination

8.1 Actions by the Company

The Company reserves the right to warn, suspend, or permanently terminate any User account in circumstances including:

  • Violation of these Terms.
  • Conduct harmful to other Users or the platform.
  • Credible complaints regarding User behaviour.
  • Illegal activities or conduct creating legal risk.

8.2 Graduated Enforcement

The Company generally follows a graduated enforcement approach consisting of warnings, temporary suspension, and permanent termination depending on the severity and frequency of violations.

Serious misconduct involving safety risks, harassment, illegal activity, or threats may result in immediate termination without warning.

8.3 Reporting to Authorities

The Company may report suspected illegal activity and relevant information to law enforcement authorities where required by law.

8.4 Effect of Termination

Upon termination, access to the Application will cease immediately and personal data will be handled in accordance with the Privacy Policy and Data Usage Policy.

8.5 Termination by the User

Users may delete their account at any time through the account settings section of the Application, subject to applicable data retention and reinstatement policies.

A User whose account has been terminated for violating these Terms may not create a new account without prior written consent from the Company.

Intellectual Property

9.1 Company's Intellectual Property

All intellectual property rights in the Application, including but not limited to the software, design, interface, logos, branding, trademarks, and content created by the Company, are and shall remain the exclusive property of Alphameet Innovate Private Limited.

Nothing in these Terms shall be construed as transferring ownership of any intellectual property rights to Users.

Users are granted a limited, non-exclusive, non-transferable, and revocable licence to access and use the Application solely for its intended purpose.

9.2 User-Generated Content

Ownership of User-Generated Content remains with the User, subject to the licence granted to the Company under Clause 6.

Users may not copy, reproduce, distribute, modify, or commercially exploit any part of the Application without prior written permission from the Company.

Privacy

Your use of the Application is also governed by our Privacy Policy and Data Usage Policy, both of which are incorporated into these Terms by reference.

By using the Application, you consent to the collection, use, storage, processing, and disclosure of your personal data as described in those policies.

Users are encouraged to review the Privacy Policy and Data Usage Policy carefully before using the Application.

In the event of any inconsistency between these Terms and the Privacy Policy regarding personal data processing, the Privacy Policy shall prevail.

Location Services

The core functionality of OneMeet depends upon access to your device's location services.

By using the Application, you consent to the collection and use of location data in accordance with the Privacy Policy.

You may withdraw your consent to location sharing at any time through your device settings or the Application settings.

Disabling location access may prevent you from using location-based features and professional discovery services available within the Application.

The Company does not guarantee the accuracy, availability, or real-time reliability of location information displayed through the platform.

Users should not rely solely on Application location data when deciding to meet another User in person.

SOS Emergency Feature

The SOS feature connects Users with a human moderator during emergency situations arising in connection with use of the Application.

By activating the SOS feature, you acknowledge and agree that:

a. Your live location at the time of activation may be accessible to the Company's moderator for emergency assistance purposes.

b. The moderator may coordinate with law enforcement authorities or emergency services where necessary.

c. The SOS feature is not a substitute for contacting official emergency services directly in life-threatening situations.

d. The Company does not guarantee uninterrupted availability or functionality of the SOS feature.

Misuse of the SOS feature, including activation without a genuine emergency, may constitute a violation of these Terms and may result in suspension or termination of the User's account.

Users should always contact official emergency services as their primary course of action during critical emergencies.

Third-Party Services

The Application integrates with various third-party services necessary for its operation and functionality.

These services may include Google Authentication, Google Maps, Amazon Web Services (AWS), FSST 2 SMS services, and other infrastructure providers.

Your use of such third-party services through the Application may be subject to the respective terms, conditions, and privacy policies of those providers.

The Company does not control, endorse, or assume responsibility for the availability, accuracy, security, or conduct of third-party services.

Accessing third-party services through the Application is done at your own risk and subject to the policies of those providers.

Disclaimers and Limitation of Liability

The Application is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.

The Company does not guarantee uninterrupted access, error-free operation, accuracy of information, or availability of any feature of the Application.

The Company is a technology platform facilitating professional networking and is not responsible for the conduct, actions, qualifications, identity, or intentions of Users.

Users assume full responsibility for all interactions, communications, meetings, and decisions made through the Application.

The Company shall not be liable for any loss, damage, injury, dispute, or claim arising from interactions between Users.

The Company shall not be liable for interruptions, delays, technical failures, or service outages.

The Company shall not be liable for content posted by Users.

The Company shall not be liable for actions of third-party service providers.

To the fullest extent permitted by applicable law, the Company's total aggregate liability shall not exceed INR 1,000 or the amount paid by the User to the Company during the preceding three months, whichever is higher.

Indemnification

You agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses arising from or related to:

a. Your use of the Application in violation of these Terms or applicable law.

b. Your interactions with other Users, whether online or in person.

c. Any User-Generated Content posted, shared, or transmitted by you.

d. Any false or misleading information provided in your profile or communications.

e. Any violation of intellectual property rights, privacy rights, or other rights of third parties.

This indemnification obligation survives suspension, termination, or deletion of your account.

Dispute Resolution

16.1 Amicable Resolution

In the event of any dispute arising from or relating to these Terms or your use of the Application, the parties shall first attempt to resolve the matter through good faith discussions and negotiations.

Either party may initiate the resolution process by providing written notice describing the dispute in reasonable detail.

16.2 Arbitration

If a dispute cannot be resolved amicably within the prescribed period, it shall be referred to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996.

  • Arbitration shall be conducted by a sole arbitrator.
  • The seat of arbitration shall be Bangalore, Karnataka, India.
  • The proceedings shall be conducted in the English language.
  • Indian law shall govern the arbitration proceedings.

16.3 Court Litigation

Where arbitration is unavailable, unenforceable, or urgent interim relief is required, disputes shall be subject to the exclusive jurisdiction of the competent courts located in Bangalore, Karnataka, India.

16.4 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India.

The decision of the arbitrator shall be final and binding on all parties, subject to applicable law.

Modifications to These Terms

The Company reserves the right to amend, update, or revise these Terms at any time.

Material changes will be communicated to Users through the notification channels described in these Terms.

Updated Terms will display a revised effective date and become effective upon publication or notification.

Continued use of the Application after notification of changes constitutes acceptance of the revised Terms.

Modifications to the Application

The Company reserves the right to modify, suspend, discontinue, or enhance any feature or functionality of the Application at its sole discretion.

a. Add, modify, suspend, or discontinue features with or without notice.

b. Restrict access to specific features or portions of the Application.

c. Introduce paid services, subscriptions, or premium features in the future.

The Company shall not be liable for any loss or inconvenience arising from modifications, suspension, or discontinuation of any feature of the Application.

Force Majeure

The Company shall not be liable for any delay, interruption, failure, or inability to perform its obligations where such failure arises from circumstances beyond its reasonable control.

Natural disasters and acts of God.

Epidemics, pandemics, or public health emergencies.

Government actions or regulatory restrictions.

Internet, telecommunications, or power failures.

Cyber-attacks or security incidents.

Civil unrest, strikes, riots, or similar events.

The Company will make reasonable efforts to restore services as soon as practicable following any such event.

Severability

If any provision of these Terms is determined by a court or competent authority to be invalid, unlawful, or unenforceable, such provision shall be modified or severed to the minimum extent necessary.

The remaining provisions shall continue in full force and effect and shall not be affected by such modification or severance.

Entire Agreement

These Terms, together with the Privacy Policy, Data Usage Policy, Disclaimer, and any other policies incorporated by reference, constitute the entire agreement between the User and the Company regarding use of the Application.

They supersede all prior discussions, negotiations, understandings, representations, and agreements relating to the same subject matter.

Notices and Communications

All notices and communications from the Company to Users may be delivered through one or more of the following channels:

  • Email sent to your registered email address.
  • In-app notifications.
  • Push notifications.
  • Pop-up messages displayed during login.

Notices from Users to the Company should be directed to the Grievance Officer using the contact details provided below.
